These Terms and Conditions (“Terms”) govern your access to and use of theheao.com website, mobile applications, and related products and services (collectively, the “Heao® Platform”). Please read these Terms carefully before using the Heao® Platform. By accessing or using any part of the Platform, you agree to become bound by these Terms. If you do not agree to all the Terms, do not access or use the Platform.
1. Parties
The Heao® Platform is owned and operated by Heao LLC, a limited liability company incorporated in Delaware (“Heao®”, “we”, “us” or “our”). Users of our Platform are referred to as “you” or “your” in these Terms.
2. Use of the Heao® Platform
The Heao® Platform allows you to learn about, purchase, and engage with Heao® brand products such as high chairs, walkers, personal care items, and home goods. You must be at least 18 years old or have parental consent to create an account or make purchases on theHeao® Platform.
Your access and use of the Platform constitutes your agreement to follow these Terms and all applicable laws. If you do not agree to these Terms, discontinue use immediately.
We grant you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Platform for legitimate purposes as outlined in these Terms. Heao® maintains full ownership of the Platform.
3. Heao® Account
You may need to create an account to access certain features or services we offer. When registering, you agree to provide current, accurate, and complete information about yourself. Do not impersonate another person or use a name that violates third party rights.
You are responsible for maintaining the confidentiality of your login credentials and agree not to share your username or password with others. Report any unauthorized use of your account to Heao® immediately.
We reserve the right to suspend, delete, or restrict access to your account if violations of these Terms or applicable laws occur. You have rights regarding your personal data outlined in our Privacy Policy.
4. Ordering from Heao®
Pricing and Payment. Prices, taxes, and shipping rates are subject to change without notice. You agree to pay all charges incurred for products, shipping, taxes, and any other fees at the rates in effect when the charges are incurred. We accept various payment methods including credit cards and PayPal. Payment processing services are provided independently by trusted third parties.
Product Availability. We try to maintain real-time stock status on the site but cannot guarantee availability. We reserve the right to cancel your order if an item becomes unavailable for any reason.
Shipping and Delivery. We fulfill orders to the shipping address you provide when ordering. Please ensure it is current, accurate, and complete. Customers are responsible for shipping charges and use of the selected carrier. Tracking information is provided once an order ships. We are not liable for delays in transit.
Returns and Refunds. Purchases can be returned within 30 days under our returns policy. We will process refunds back to the original payment method once items are inspected and approved. Customers are responsible for return shipping costs unless the return results from our error. Further details provided on our Returns page.
Order Cancellation. We reserve the right to cancel orders we suspect violate these Terms, other policies, or laws. Customer-initiated order cancellation is only allowed before an order enters fulfillment.
5. Use Restrictions
You agree not to misuse the Heao® Platform or assist others in doing so. This includes breaching or circumventing security measures, violating laws, transmitting viruses or malicious code, scraping content, or accessing the Platform via unauthorized third party applications.
Specifically prohibited actions include:
- Harming Minors – No illegal or improper interactions with minors or accessing illegal content involving minors.
- Intellectual Property Violations – No infringement of copyright, patent, trademark, trade secret or other intellectual property rights.
- Cyber Attacks – No unauthorized access to or disruption of the Platform through hacking, password or data mining, denial of service attacks, or other means.
- Spam / Malware – No posting or transmitting unsolicited promotional messages, advertisements, chain letters, pyramid schemes, or malware attachments.
- Replicating Content – No systematic copying, downloading, posting, or distributing of substantial portions of our content including product images and descriptions.
- Decompiling Code – No reverse engineering, decompiling, disassembling or attempting to derive source code from the Platform.
- Circumventing Restrictions – No actions aimed at circumventing technological access barriers to the Platform or gaining unauthorized access to restricted content, accounts or networks.
Violation of these use restrictions can result in account suspension or termination and potential civil or criminal liability.
6. Your Content
User-generated content includes anything you post, upload, share on public-facing areas of the Platform like product reviews, forum/community posts, photos, videos, etc.
You retain full ownership of all content you submit or post. By sharing content, you grant Heao® a non-exclusive, worldwide license to use it in connection with operating, promoting, and improving the Platform and Heao® brand.
You affirm you either own or have rights to share all content submitted. It must not infringe intellectual property or other proprietary rights of third parties. We can remove any content posted in violation of these Terms without notice to you.
Any feedback, suggestions, or ideas sent to Heao® regarding improving our products or services may be used by Heao® without obligation or compensation to the provider.
7. Reviews and Ratings
Heao® values customer ratings and reviews of products to inform shopping decisions. By submitting a review, you confirm:
- The review reflects your honest, unbiased experience with the product
- You have verified personal first-hand experience with the product
- No conflict of interest exists that could improperly influence your review
We have mechanisms to detect fraudulent reviews. Submitting false, misleading, paid, or incentivized reviews violates these Terms.
8. Heao®’s Proprietary Rights
The Heao® Platform contains valuable trademarks, copyrights, patents, trade secrets, technologies, content, and branding we own or exclusively license from partners (“Heao® IP”).
Heao® IP is protected by intellectual property laws. You will not copy, modify, create derivative works from, reverse engineer, decomp ile or disassemble, reproduce, distribute, license, or resell any Heao® IP unless expressly authorized by us in writing. You agree to reasonably cooperate in defense and enforcement actions regarding Heao® IP brought by us.
9. Disclaimers and Limitation of Liability
No Warranties
THE HEAO® PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE PLATFORM IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HE AO® DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION OBTAINED FROM HE AO® SHALL CREATE ANY WARRANTY .
Services Disruption
Access to the Heao® Platform relies on third party technologies outside our control. We do not guarantee continuous, uninterrupted, or secure platform access. He ao® is not responsible for any service disruptions or outages not caused directly by us.
Accuracy of Information
Heao® strives to provide helpful, quality information but cannot guarantee the accuracy or relevance of all information or content available through the Platform. You use such information at your own risk.
Links to Third Party Sites
The Heao® Platform may contain links and integrations with third party companies, websites, mobile applications, content, or other services not controlled or vetted by Heao®. We are not responsible or liable for the accuracy, availability, legality, decency or any other aspect of those third party sites or platforms.
Limitation of Liability
HEAO® SHALL NOT BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR USE OF THE HE AO® PLATFORM, INCLUDING LOST PROFITS OR DAMAGES TO BUSINESS REPUTATION, EVEN IF HE AO® HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID TO ACCESS OR USE THE PLATFORM OVER THE PRIOR YEAR TIME PERIOD.
APPLICABLE LAW MAY NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS OF LIABILITY, SO ALL OR PORTIONS OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU.
10. Indemnification
You agree to fully indemnify, defend, and hold harmless Heao® and its officers, directors, shareholders, successors, agents, distribution partners, affiliates, subsidiaries, employees, advertisers, suppliers, and partners harmless from and against any and all claims, obligations, damages, losses, expenses, and costs (including settlement costs and attorneys’ fees) that arise from:
(1) your use or misuse of the Heao® Platform,
(2) your violation of these Terms, and
(3) your violation of the rights of or obligations to a third party, including another Platform user.
We reserve the right to exercise sole control in defense or settlement of any claim subject to indemnification pursuant to these Terms.
11. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of Delaware without regard to conflict of law principles. Sole jurisdiction and venue for any disputes arising from or related to these Terms, the Platform, or your Heao® account will lie in the state or federal courts located in Delaware. You consent to personal jurisdiction of such courts over you for this purpose.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. If any portion of these Terms is deemed illegal or unenforceable, the remaining provisions will remain in effect and enforceable.
12. Termination
You may terminate your Heao® account and stop using the Platform at any time.
Heao® may suspend or terminate your account for any breach of these Terms. We reserve the right to maintain and disclose data as required by law and for legitimate business purposes after account closure.
Provisions intended to survive termination of these Terms will remain in effect after account closure.
13. Changes to these Terms
We may revise these Terms periodically by posting updated Terms to our website. The changes will become effective when posted. You are advised to check the Terms regularly for updates.
Your continued use of the Heao® Platform constitutes acceptance of any revisions. If you do not agree to the amendments, you must discontinue your use of the Platform immediately.
